Directors and officers (D&O) liability insurance is intended to protect the personal assets of individuals in the event they are personally sued as a result of serving as a director or officer of a company.

A D&O policy also protects a business or non-profit organization for any legal fees or costs that may be associated with defending individuals against lawsuits. Although coverage is intended to cover individuals, it is typically purchased by companies rather than the individuals. 

Directors and officers policies specifically provide coverage for “wrongful acts” such as neglect or misleading statements.
